Stamp duty on a Hong Kong tenancy agreement is easy to misunderstand because two questions get mixed together. The first question is official liability: who may be responsible for stamping and stamp duty under the stamp-duty rules. The second is private allocation: what the landlord and tenant agreed between themselves about who will actually bear the cost. A lease can say the cost is shared, paid by the tenant, paid by the landlord, or handled by an agent, but that private wording does not replace the need to follow the official stamping rules.

Start with the signed agreement

Check whether the document is a lease, agreement for lease, duplicate, counterpart, renewal, or other document with similar effect. The IRD Stamp Office materials treat tenancy agreements as chargeable documents and explain that parties executing the agreement, such as landlord and tenant, can be liable for stamp duty. The practical step is to read the clause headed stamp duty, expenses, costs, or 打厘印.

If the lease says parties share stamp duty equally, record that. If it says the tenant pays all stamp duty, record that. If it is silent, do not invent a rule from memory. Check the current IRD guidance and ask the other side how stamping will be arranged before deadlines become a problem.

Why stamping matters

A stamped agreement or stamp certificate helps prove that the tenancy document has been properly handled for stamp-duty purposes. It is not a quality mark for the lease terms. Stamping does not make a bad break clause fair, does not prove the apartment condition, and does not decide a deposit dispute by itself. It is one piece of the tenancy file.

Do not rely on a property-agent screenshot if the official IRD page says the case is outside simple e-Stamping.

If the landlord or agent says the document has been stamped, ask for the stamp certificate or stamped copy. If you paid a share of stamp duty, ask for a receipt or proof of payment. If you are asked to sign a duplicate or counterpart, check whether separate stamping treatment applies.

What if the other side refuses to cooperate

Stay precise. If your issue is no stamped copy, ask for the stamped copy. If your issue is who pays, quote the lease cost-sharing clause. If your issue is late stamping, check the IRD late-stamping materials before assuming the consequence. If your issue is deposit recovery, do not let stamping distract from deposit evidence such as receipts, handover photos, deductions, and key return.

Common mistakes

Do not assume the landlord alone must pay because they own the flat. Do not assume the tenant alone must pay because they need the lease for another application. Do not pay an agent an unexplained stamping fee without proof of the amount. Do not confuse stamp duty with rates, management fee, deposit, agent commission, or government rent. Do not treat Form CR109, RVD tenancy notices, or SDU forms as the same thing as stamp-duty stamping.

Also avoid waiting until there is a dispute. Stamp-duty documents are easier to collect when the relationship is calm. If you need the lease for employment, school, bank, insurance, or a later claim, having the stamped copy in your file saves time.
