Biznes.gov.pl describes zarząd sukcesyjny as a temporary way to manage an enterprise after the entrepreneur’s death. It gives successors time to decide whether to continue the activity, sell the business, or close it. The official guidance also stresses an important limitation: these rules concern businesses registered in CEIDG. They are not a universal succession plan for every company, partnership, foundation, or asset-holding structure.
Why Appointment Before Death Matters
The cleanest route is usually when the entrepreneur appoints a succession manager during life and enters that manager in CEIDG. Biznes.gov.pl explains that this can preserve operating continuity: the manager can act immediately after death, employee contracts can remain in force, contracts may continue, and the manager can quickly seek confirmation for concessions or permits where relevant. Without that preparation, the family may need a notarial route involving successors, while the business is already under pressure.
Do not treat the succession manager as the new owner. The role is temporary management of the enterprise in inheritance. Ownership and inheritance still need their own documents, often through a notary or court process. The succession manager’s job is to keep the business legally and operationally manageable while those inheritance questions are resolved.
The First File To Build
The family should create two files at once: authority and operations. The authority file proves who may act. The operations file tells that person what must be done in the next days and weeks. If the entrepreneur planned ahead, start with the CEIDG entry, CEIDG-ZS materials, manager consent, death certificate, tax identifiers, and any powers or internal instructions. Biznes.gov.pl states that succession management generally expires two years from the entrepreneur’s death, and that a court may extend that period for important reasons, up to a maximum of five years. It may also end earlier in several situations, for example when no one accepts the inheritance within the relevant early period, when one person acquires the whole enterprise, when a manager is removed and no new one is appointed in time, when bankruptcy is declared, or when partition of the estate covers the enterprise.
These timelines are why a family should not use zarząd sukcesyjny as a substitute for a succession decision. It is a bridge. During the bridge period, decide whether the business will be transferred to one heir, contributed to a company, sold, wound down, or reorganised.

What The Manager Should Not Do Alone
A succession manager may need to act quickly, but speed is not the same as unlimited power. Selling core assets, changing business model, settling family disputes, admitting disputed debts, terminating key contracts, or making tax elections can affect heirs and creditors. Get professional advice before treating an operational emergency as permission to restructure the family estate.
