1. 法律基础:Employment Act(Cap. 91A)

新加坡的雇佣框架主要受 Employment Act(Cap. 91A) 约束。该法在 2019 年大幅扩展,涵盖除公务员和家政工人外的所有雇员。这是重大变化——此前,只有基层雇员(即月薪低于 SGD 2,600 的人)才完全受保护。自 2019 年 4 月 1 日起,所有雇员(包括 PMETs——专业人员、经理、主管和技术员)都受核心条款保护。

Employment Act 规定了不能被合同排除的最低法定权益。任何合同条款只要低于该法要求,冲突部分即自动无效——以法定最低标准为准。也就是说,你不能在书面上约定放弃年假,或接受低于最低通知期的薪酬。

2. 关键雇佣条款(KETs)— 自2016年4月起强制

根据《雇佣(关键雇佣条款)条例》,雇主须在员工入职后 14 天内发出书面关键雇佣条款(KETs)。未发出 KETs 属于违规,可由人力部处罚。KETs 必须包含:

  • 雇主和雇员全名

  • 职位、主要职责和责任

  • 开始日期(如为固定期限,还需注明结束日期)

  • 试用期时长(如有)

  • 工作时间和休息日

  • 薪资、支付频率和日期

  • 年假权益

  • 医疗福利(门诊和住院)

  • 其他相关权益(如产假、陪产假)

  • 任一方终止合同的通知期

⚠️ CPF 缴纳——雇主的强制义务:雇主必须为所有收入超过 SGD 50/月的新加坡公民和永久居民缴纳 CPF。对于 55 岁以下员工,合并缴纳率为工资的 37%(雇主 17% + 雇员 20%);年龄更大的员工则逐步下降。未按时缴纳 CPF 属于刑事犯罪,雇员可向 CPF Board 投诉。持工作准证者(EP、S-Pass)无权获得 CPF 缴纳。

4. 限制性条款 — 哪些可执行,哪些不可执行

新加坡法院适用贸易限制原则:限制性条款只有在保护合法的财产性利益,且范围合理时才可执行。关键原则如下:

  • 竞业限制条款:若期限合理(通常 6–12 个月)、地域范围合理(限于雇主实际经营地区),且限制活动类型合理,则可执行。类似“不得在任何科技公司工作”的全面限制,通常会失败。

  • 禁止招揽客户:若员工曾直接接触客户,且限制有时间上限(通常 12 个月),一般会被维持。

  • 禁止招揽员工:若针对对团队成员具有特定影响力的高阶员工,通常也会被维持。

  • 花园假条款:雇主可要求员工在通知期内待在家中,并继续发薪。这是就业后限制性条款的合法替代方案。

与某些司法管辖区不同,新加坡法院不要求以金钱补偿作为限制性条款有效的交换条件。不过,合理性测试仍会严格适用。


案例:Wei Ling 在新加坡金融科技公司的雇佣合同

背景:29 岁的 Wei Ling 收到一家新加坡金融科技初创公司的数据分析师录用通知:基本月薪 SGD 6,500、试用期 3 个月、12 个月竞业限制,地域限于“APAC 金融科技领域”,以及一条知识产权转让条款,涵盖“工作时间内或之外创建的所有发明”。

问:如果我月薪超过 SGD 4,500,Employment Act 还保护我吗?
